Orange announces the completion of the merger between Orange Romania S.A. (ORO) and Orange Romania Communications S.A. (OROC) through the integration of OROC by ORO. This merger allows the creation of a fully converged telecommunications operator as from June 1, 2024.

The consolidated company following the merger will further Orange's objective of becoming the preferred provider of fixed-mobile convergent services on the Romanian market, both for the residential and business segments. At the same time, it will stimulate investment and competition in the telecommunications sector in Romania, which will undoubtedly bring benefits to society as a whole.

As a result of the completion of the merger, the Orange Group will hold 80% of the share capital and the voting rights of the consolidated entity, while the Ministry of Research, Innovation and Digitalization will hold 20% of the share capital and voting rights.

Since the acquisition in 2021 by Orange Romania S.A. of 54% shares in the fixed services operator, Orange Romania Communications (previously Telekom Romania Communications) and Orange went through a series of important technical steps, which allowed the unification of contact channels to ensure an aligned customer experience for OROC customers, as well as the launch of the first joint commercial offer.

The  merger brings minimal changes to the day-to-day use of Orange services and will allow the company to remove barriers to full operational integration, which meshes the customer databases belonging to both companies and IT systems into one unified experience on the fastest network, for all customers.

"The dynamics of the telecommunications market bring benefits to Romanians. This merger is a recognition of Romania's strength in telecommunications infrastructure and shows the potential of our country to become a regional hub for connectivity. Through the Ministry's holding in the new company, we will work to improve the quality of telecommunications services for all users in Romania," stated Bogdan Ivan, the Minister of Research, Innovation, and Digitalization in Romania.

“The merger between Orange Romania S.A. and Orange Romania Communications S.A. is a major step for Orange and marks the fruition of the process with the Government of Romania. This merger enables Orange Romania to fully implement its strategy to deliver best-in class offers on mobile and fiber. I warmly thank the teams that have been working on this transaction and wish the new integrated teams all the best.” said Mari-Noëlle Jégo-Laveissière, Executive Vice President, CEO of Orange Europe.

“Finalizing this merger was a top priority since the beginning of my mandate, and I am glad we find ourselves in front of this big milestone. The way ahead is now clear, and we will concentrate all our efforts on delivering an improved experience for customers, while getting even closer to our main objective of becoming the preferred choice for convergent services in Romania,” declared Julien Ducarroz, Orange Romania CEO.
